PT Krakatau Semen Indonesia (KSI) realized that the implementation of corporate governance is very important and decisive in carrying out the Company's business activities are sustainable so that it has a competitive advantage and increase the added value of the Company. In line with our commitment, we ensure the implementation of corporate governance (CG) is good toward high standards with reference to best practices and directs the management of the company in a professional manner based on the principles of transparency, accountability, responsibility, independent, fairness and equality. We will always seek the embodiment of the Vision and achieve mission based KSI with good corporate governance.
In connection with the renewal of the law in the field of limited liability companies and State-Owned Enterprises, the implementation of good corporate governance (GCG hereinafter referred GCG) in KSI is tailored to the Regulation of the Minister of SOE No. Per-01 / MBU / 2011 concerning Application Procedures of Good Corporate Governance (GCG) in SOEs, Article 2 reads as follows: paragraph (1): SOEs are required to apply GCG consistently and continuously guided by this Ministerial Regulation with regard to the provisions and norms as well as the articles of association of state-owned enterprises and paragraph (2): in the framework of the implementation of GCG as referred to in paragraph (1), the Board of Directors prepare GCG manual which can load the board manually, risk management manual, internal control systems, internal control system, mechanisms for reporting on alleged irregularities in the SOE concerned, governance information technology governance, ethics and code of conduct.
Goals of GCG Implementation
KSI expect with the implementation of good corporate governance in the company can optimize the value of the company so that the company has strong competitiveness, both nationally and internationally, so it can maintain its existence and sustainable living to achieve the aims and objectives of the company, to encourage the management of the company in a professional, efficient, and effective, and empowering function and increase the independence of company, encourage company in making decisions and perform actions based on high moral values and compliance with laws and regulations, as well as awareness of corporate social responsibility towards stakeholders and the environment around the company.
In addition, the application of the principles of transparency, independence, accountability, responsibility, and fairness in the implementation of the company is expected to realize the implementation of the management of the company in a professional and independent; the creation of decision-making by all the Company that are based on high moral values and compliance with laws and regulations in force; as well as the implementation of corporate social responsibility towards stakeholders.
The purpose of these guidelines is to guide the entire Company, employees and other stakeholders in running the business based on the principles of good corporate governance and to make it happen as a system and culture of the Company.
The guidelines were developed based on the provisions contained in the Articles of Association of the Company and all laws and regulations applicable to the Company, particularly the governing mechanism of action of the Company consisting of the AGM, the Board of Commissioners and Board of Directors. These guidelines essentially can change, arranged and are intended to be dynamic, so that the company can adapt to the pace of market developments and structural changes from time to time.
